Affiliate and Referral Program Terms

Kavi Media, Inc.
Version 1.0 — Effective 20 October 2026
Published at kavi.audio/legal/affiliate-program-terms

In short (not part of the terms): share your own Kavi link or code; when someone new starts a paid Kavi subscription through it, you earn a commission. Say clearly in every post that you may earn a commission. Do not spam, mislead or bid on Kavi's name in ads. You are not Kavi's employee or agent. Commissions are separate from any royalties. US disputes go to individual arbitration unless you opt out within 30 days (section 14).

1. About these Program Terms

1.1 These Affiliate and Referral Program Terms (the "Program Terms") are an agreement between you and Kavi Media, Inc., a Delaware corporation with its principal place of business in Alpharetta, Georgia, USA (mailing address: 169 Madison Ave STE 30314, New York, NY 10016, USA) ("Kavi"). They govern Kavi's affiliate and referral program (the "Program") for the Kavi audio streaming service at kavi.audio and in the Kavi apps (the "Service").

1.2 Accepting. You accept these Program Terms by ticking the unticked acceptance box (with a link to them) on the Program sign-up screen and selecting the button to join. Kavi records your account, the version you accepted, when you accepted and your declared country of residence, and emails you a copy. If you join for a company, you confirm you may bind it, and "you" means that company.

1.3 Definitions. "Dashboard" means the Program dashboard Kavi provides through Rewardful. "Your link" and "your code" mean the unique referral link and code Kavi issues to you. "Standard terms" means the terms on which Kavi offers subscriptions to all listeners. "Content agreement" means any other agreement you have with Kavi, including a Creator, Music or Audiobook Master Agreement (with its Schedules, riders and addenda), the Creator Terms — Short-form, a guest or cast release, or an editing, narration or translation agreement. "Business Day" means a day other than a Saturday, Sunday or public holiday in Georgia, USA.

2. Who can join

2.1 You may join if you (a) have reached the age of majority where you live (18 in most places; 19 in some Canadian provinces and territories), or are aged 13 or older and join under section 2.1A, (b) have a Kavi account (a listener account or a Kavi Creator Portal account) or a Program account Kavi opens for you on the Program sign-up screen, (c) are resident in the United States, India or Canada (Kavi may accept other countries case by case), and (d) accept these Program Terms. A content agreement is not required, and having one is no bar to joining, wherever you live.

2.1A Minors. If you are aged 13 or older but have not reached the age of majority, you may join only if you are resident in the United States, India, British Columbia or Ontario, you have signed a Minor / Guardian Rider with Kavi as a creator, co-host or co-owner (its Part B), and your parent or legal guardian who signed it (your "Guardian") accepts these Program Terms in the Kavi Creator Portal on your behalf (for a minor resident in India, the Guardian joins as the participant, for your benefit), supervises your Program account and approves each promotion before it is posted. Your Guardian is responsible with you for following these Program Terms. Kavi pays your commissions only into a bank account in your name or held by your Guardian strictly for you, never to your Guardian personally, and your tax form is completed in your name. Because Kavi's listener service is for adults only, you must aim your promotion at adults, and a sign-up by anyone under 18 earns no commission. Sections 6.1 to 6.4, 6.6 and 8 of your Minor / Guardian Rider also apply to your commissions and your Program data.

2.2 Kavi's employees, officers and interns, and contractors who work on Kavi's marketing or on the Program, may not join while that relationship lasts.

2.3 Quebec. Kavi will not accept a Quebec resident until complete French versions of these Program Terms and the documents they incorporate are available and have been provided as Quebec law requires.

2.4 Sanctions. Kavi screens participants against applicable sanctions lists when they join and before paying them, as US law requires, and will not admit or pay anyone US sanctions law prohibits it from dealing with.

2.5 Kavi's choice. Kavi may decline an application or remove a participant. On request, it gives a short reason, unless the law prohibits it or it would compromise a fraud investigation. A removal without a breach by you is treated as Kavi ending your participation under section 12.

3. How the Program works

3.1 Tracking. Kavi uses Rewardful to track clicks on your link, use of your code, sign-ups and commissions. Do not alter your link or code, or use another participant's.

3.2 Qualifying referral. A "qualifying referral" is a person who, after clicking your link or entering your code: (a) starts a paid subscription on Kavi's standard terms through a checkout Kavi's tracking can attribute to you (a subscription bought through an app store's in-app purchase counts only where the dashboard says it can be tracked); (b) has never before had a paid Kavi subscription; and (c) is not you, a company you control, or an account you control or paid for (a "self-referral"). A free trial counts only once it becomes a paid subscription without a break.

3.3 Attribution. A referral belongs to the participant whose link was clicked last, within the cookie window, before the person started the subscription (or the free trial that became it). Entering a code at checkout counts as the last click. A sign-up the tracking cannot attribute (for example, because cookies were blocked) earns no commission.

3.4 Commission terms. For each qualifying referral, you earn the commission on the subscription payments the referred subscriber makes during the commission period. The dashboard shows the current terms. On the date of these Program Terms they are: (a) commission: 10% of the price the subscriber actually pays, excluding sales tax, GST and similar taxes; (b) commission period: the 12 months starting on the referred subscriber's first payment (that is, up to 12 monthly payments, or 1 annual payment); payments after that period earn no commission; (c) cookie window: 60 days after the click; and (d) discount for the referred subscriber: 5% off each subscription payment in the same 12 months (up to 12 monthly payments, or 1 annual payment), applied at Kavi's checkout; after that the subscriber pays the normal price. Commissions are owed in US dollars. A subscription payment in another currency is converted at the exchange rate Kavi's billing system records for that payment.

3.5 Changing commission terms. Kavi may change the commission, commission period, cookie window or referred-subscriber discount on at least 30 days' notice by email and in the dashboard. A change applies only to subscription payments made after it takes effect and never reduces a commission already earned.

4. Earned, reversed and held commissions

4.1 Pending period. A commission is pending until 30 days after Kavi receives the subscription payment it relates to, and is then earned. If the payment is refunded or charged back within those 30 days, the commission is reversed. A later refund or chargeback does not reverse an earned commission.

4.2 Fraud holds. (a) If Kavi reasonably suspects a commission results from a self-referral, a fake or incentivized sign-up or other conduct section 5 prohibits, it may hold only the disputed commissions, for up to 90 days, while it investigates. (b) Kavi gives you written reasons within 10 Business Days after starting the hold, by email and in the dashboard, and the hold appears on your statement. (c) Within 10 Business Days after the hold ends, Kavi either pays the held amount or tells you in writing, with reasons, that it is forfeited under section 4.3. (d) Undisputed commissions are paid on the normal schedule. (e) You may respond at any time during the hold, by email to legal@kavi.audio, and Kavi will consider your response.

4.3 Forfeiture. Kavi may forfeit a commission only to the extent it results from your fraud or your breach of section 5 or 6, with written reasons. Other commissions are not affected.

4.4 After payment. If Kavi finds after paying that a commission resulted from your fraud or your breach of section 5 or 6, it may set that amount off against later commissions. It may require repayment in cash only where you, or someone acting for you, caused or knowingly took part in the fraud or breach.

4.5 Other holds. Kavi may also hold commissions while the conditions in section 9.2 are not met or where sanctions law requires, and tells you why unless the law prohibits it.

5. Promotion rules

You may share your link and code on your own channels and in conversation. You must not: (a) make false or misleading claims about Kavi or the Service (including prices, trials, discounts, features, content or availability, or saying that the Service or any plan is ad-free unless Kavi's own checkout page says so), or offer a discount Kavi has not issued for the Program; (b) send spam (unsolicited emails, texts, WhatsApp or other direct messages, or repeated or off-topic comments) or break any anti-spam or telemarketing law; (c) bid on "Kavi", "kavi.audio" or any variation or misspelling as a keyword in search, app-store or social-media advertising, or use them in ad text or display URLs; (d) run any other paid advertising using the Kavi name without Kavi's prior written approval (boosting your own ordinary social-media post that follows these Program Terms is allowed); (e) post your link or code on coupon, deal, cashback or rewards sites or apps, unless Kavi has approved the site in writing; (f) make self-referrals; (g) offer anyone money, gifts, a share of your commission or another reward for signing up; create or encourage fake, duplicate or automated sign-ups; or use unauthorized payment methods; (h) set referral tracking without a real, intended click (for example, by cookie stuffing, hidden or forced clicks or software); (i) aim your promotion at anyone under the age of majority where they live, or place your link or code in content that is made for kids; (j) post on Kavi's own social-media pages, app-store listings or community spaces in a way that suggests you are Kavi, impersonate Kavi or its staff, or create accounts or pages that look like Kavi's; (k) promote the Service in or next to content the Community Guidelines prohibit, or alongside a sponsor category the Sponsorship Disclosure Policy prohibits; (l) post, or ask anyone to post, a review or rating of Kavi or the Service (including in an app store) in return for anything; review the Service without having used it; post any review of Kavi without clearly saying that you earn commissions from Kavi; or put your link or code in a review; or (m) break any law that applies to your promotion. Kavi may ask you to change or remove a promotion that breaks these rules, and you agree to do so within 2 Business Days.

6. Disclose that you earn a commission

6.1 In every post, message, video or audio where you share your link or code, clearly disclose that you may earn a commission from Kavi, for example: "I earn a commission from Kavi if you subscribe with my link." Use plain words in the same language as the promotion, next to or before the link or code (not only in a profile, a "more" section or hashtags), and say it aloud in audio or video.

6.2 Follow the advertising law that applies where you are and where your audience is, including the US Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255), the ASCI guidelines for influencer advertising in India, and, if you are resident in Canada, the Competition Act. Sections 3, 4.2, 4.4, 4.5 and 9 of Kavi's Sponsorship Disclosure Policy (kavi.audio/legal/sponsorship-disclosure-policy) and, for a promotion in audio or video, its section 4.1, apply to your promotions whether or not you are a creator; use one of its labels for audiences in India (section 4.4) in any promotion aimed at people in India. Say only what you honestly believe.

You may use the name "Kavi" in plain text to identify the Service, and any Kavi logos or badges Kavi provides to you in the dashboard (the "Kavi brand assets"), only to promote the Service with your link or code. Sections 7.2 and 7.3 of Kavi's Community and Brand Rules (kavi.audio/legal/community-brand-rules) apply to that use whether or not you are a creator; Kavi owns the Kavi brand assets, and you will promptly change or stop any use Kavi asks you to; section 5(d) above decides when paid advertising is allowed. You get no other right in Kavi's names, logos or trademarks, and must stop using them for the Program when your participation ends.

8. Your independent status

8.1 You take part independently. Nothing in these Program Terms makes you Kavi's employee, worker, agent, partner, joint venturer or representative, or a dependent agent of Kavi in India, Canada or anywhere else. You bear your own costs, and Kavi does not control how, when or where you promote.

8.2 Wherever you live, you have no authority to negotiate, conclude, sign or accept any contract, order, subscription, sponsorship or advertising deal in Kavi's name or on its behalf, or to bind Kavi in any way. Do not collect money for Kavi, describe yourself as Kavi's representative, agent, manager or officer, or hold out any place as Kavi's office or place of business.

8.3 Sharing your link or code, through which listeners subscribe on Kavi's standard terms, is not negotiating, concluding or accepting a contract or order for Kavi. Kavi alone offers and concludes every subscription, through its own checkout and on its standard terms, which you cannot change.

9. Payment

9.1 Payout provider. Kavi pays commissions through its payout provider. Kavi's Payout Policy (kavi.audio/legal/payout-policy) describes how that provider works, but only these Program Terms govern commissions. For participants resident in India, Kavi states on each payment the purpose code, among those its payout provider supports, that best describes the commission, and on request gives the payout provider's No Objection Certificate so that you can obtain a Foreign Inward Remittance Certificate. Any fee a bank charges you for issuing that certificate is borne by you.

9.2 Conditions for payment. Kavi releases a payment only once you have: (a) given, only through the secure form Kavi provides (never by email), a valid tax form collected by Kavi's tax-form provider: Form W-9 if you are a US person, with a successful IRS check of your name and taxpayer identification number (TIN match); otherwise Form W-8BEN (for a company, W-8BEN-E) showing your foreign tax identification number, or any other form US tax law requires; and, if you are resident in India or Canada, your GST or GST/HST registration status; (b) given, through that secure form, details of a bank account in your own legal name (or your company's, if you joined for one, or an account section 2.1A allows) that the payout provider supports and, if you are resident in India, that is an Indian bank account; and (c) kept them up to date, telling Kavi within 30 days after any change that makes your tax form incorrect. Until then, your balance is held. It is not forfeited, rolls over, earns no interest and is paid in the next payment run after the conditions are met. Kavi never asks for tax identification numbers or bank details by email, direct message or phone.

9.3 When and thresholds. Kavi pays monthly, no later than 45 days after the end of the calendar month in which a commission was earned, once your balance reaches US$25 (residents of the United States or Canada) or ₹2,000 (residents of India, converting your US-dollar balance at the payout provider's conversion rate on the statement date). A smaller balance rolls over, but any balance is paid at least once every 12 months (6 months for residents of India), whatever the threshold, once the conditions in section 9.2 are met. When your participation ends, Kavi pays your whole earned balance, whatever the threshold, within 45 days after the end of that month, and pays each commission that becomes earned after the end date under section 12.2, whatever the threshold, within 45 days after the end of the month in which it is earned (in each case, if later, after the conditions in section 9.2 are met).

9.4 Currency and fees. Kavi pays participants resident in the United States in US dollars; participants resident in Canada in Canadian dollars or, if you ask Kavi in writing, in US dollars to a US-dollar bank account; and participants resident in India in Indian rupees to an Indian bank account. Kavi agrees the payment currency in writing with any participant it accepts from another country under section 2.1(c). For a payment in Canadian dollars or Indian rupees, the payout provider converts the US-dollar amount at the rate it applies on the payment date. Kavi bears every fee its payout provider charges, including transfer, currency-conversion, cross-border and settlement fees, except that if a payment is returned or rejected because you gave wrong or out-of-date bank details, you bear the provider's fee for re-sending it, deducted from the re-sent payment and shown on your statement. You bear any charges your own bank makes.

9.5 Failed and unclaimed payments. Kavi re-sends a failed payment within 10 Business Days after it learns of the failure and has working payout details. Kavi keeps any amount it cannot pay as owed to you, and pays it to a US state only when unclaimed-property law treats it as abandoned.

9.6 Statements. For each month with activity, no later than 30 days after the end of that month, the dashboard, or a monthly statement Kavi emails you, shows: qualifying referrals and commissions earned; commissions reversed, with the reason; amounts held, with reasons; tax withheld (country and rate); any Indian tax recovered under section 9.7(c); the fees Kavi paid its payout provider and any re-send fee deducted; the US-dollar amount of each payment and, for a payment in another currency, the exchange rate and payment date; the conversion rate used to test the payment threshold; and the amount paid or rolled over. Object to a statement in writing, with reasons, to legal@kavi.audio. A statement becomes final 18 months after it is made available unless you have objected, except for fraud, deliberate concealment, amounts Kavi knew were omitted, or where the law does not allow a limitation period to be shortened by contract.

9.7 Tax. Kavi withholds tax only where the law requires it, at a treaty rate where you have a valid treaty claim on file, including US backup withholding where your taxpayer identification number is missing or the IRS notifies Kavi that it is incorrect. Kavi pays amounts withheld to the tax authority (they count as paid to you), gives you the evidence the law requires and issues the information returns the law requires (for example, Form 1099). You are responsible for your own taxes, including income tax and, if you are registered, GST in India or GST/HST in Canada. If you are resident in India: (a) within 30 days after Kavi asks in writing (no more than once a year, or when an Indian tax authority asks Kavi), you will give Kavi reasonable evidence that the commissions were declared and Indian tax paid on them, including the acknowledgement number and date of your income-tax return and the computation showing the commissions, and any information an accountant needs to certify it in the form Indian law prescribes; Kavi keeps it confidential and uses it only to deal with Indian tax authorities; (b) if Kavi is advised in writing by a qualified Indian tax adviser that Indian law requires it to deduct tax at source from commissions, Kavi may start deducting on at least 30 days' written notice and will issue the required certificate; and (c) if an Indian tax authority finally requires Kavi to pay Indian tax it did not deduct from commissions already paid, Kavi may recover that tax amount (not interest or penalty, unless they arose because you did not provide evidence under (a)) from later commissions, up to 50% of each payment, each deduction shown as a separate line on your statement.

10. Your other Kavi agreements

10.1 If you have a content agreement, these Program Terms are separate from it. Nothing here changes your royalties, fees, revenue shares, exclusivity, rights or obligations under that agreement, and nothing in it entitles you to a commission.

10.2 Commissions are paid only under these Program Terms. They are not royalties, fees or payment for any content or license, and Kavi will not set off amounts under these Program Terms against amounts under a content agreement, or the reverse.

10.3 Promoting your link or code inside content you deliver or post to Kavi is also governed by your content agreement and the Sponsorship Disclosure Policy.

11. Privacy

11.1 Kavi handles your personal data for the Program under the Creator Privacy Notice (kavi.audio/legal/creator-privacy-notice) if you are a creator, co-host, co-owner or short-form creator; the Contributor Privacy Notice (kavi.audio/legal/contributor-privacy-notice) if you are a guest, cast member, writer, editor, narrator or translator; and otherwise (including if you have only a Program account) Kavi's listener privacy policy.

11.2 Rewardful processes Program data for Kavi (your link and code, clicks, sign-ups attributed to you, commissions and their payment, and your contact details). Kavi's payout provider and tax-form provider process your payout and tax data.

11.3 Kavi gives you no personal data of referred subscribers beyond what the dashboard shows. Do not try to identify or contact them using Program data.

12. Ending your participation

12.1 You may leave the Program, and Kavi may end your participation, at any time by notice by email or in the dashboard; Kavi may do so immediately if you breach these Program Terms.

12.2 When your participation ends, your link and code stop working. Kavi pays every commission on subscription payments it received before the end date, once its pending period ends, except a commission forfeited under section 4.3. Later payments earn no commission.

13. Disclaimers, liability and indemnities

13.1 As is. To the fullest extent the law allows, the Program, the dashboard and the tracking are provided "as is" and "as available". Kavi does not promise any referrals or income, or that tracking captures every sign-up.

13.2 Indirect loss. To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of these Program Terms.

13.3 Cap. To the fullest extent the law allows, each party's total liability arising out of these Program Terms is limited to the greater of (a) the total commissions Kavi paid you under these Program Terms in the 12 months before the claim arose and (b) US$1,000.

13.4 Exclusions. Sections 13.2 and 13.3 do not apply to: (a) commissions earned and owed; (b) each party's indemnity obligations under section 13.5; (c) fraud, gross negligence or willful misconduct; (d) a party's breach of its data-protection obligations; (e) claims for an injunction or other non-monetary relief; or (f) any liability that cannot be limited by law.

13.5 Indemnities. You will defend, indemnify and hold harmless Kavi and its officers, directors, employees and affiliates against third-party claims, and resulting losses, damages, fines and reasonable legal costs, arising from your promotions (including their content, claims and disclosures), your breach of these Program Terms or your breach of law. Kavi will do the same for you against third-party claims that the Kavi brand assets, used as these Program Terms allow, infringe that third party's rights. The party seeking indemnity must notify the other promptly, let it control the defense and cooperate; no settlement admitting fault or imposing obligations on the indemnified party may be made without its consent, not unreasonably withheld.

14. Disputes

14.1 Summary. If you live in the United States, disputes are decided by binding individual arbitration, not in court, and you give up any jury trial and class action, unless you opt out within 30 days after you first accept these Program Terms by emailing legal@kavi.audio with your name and a statement that you opt out of arbitration. If you live in India, disputes go to online arbitration seated in Hyderabad, with Kavi bearing the arbitration costs. If you live in Canada, disputes go to the courts of your province or territory or, at your choice, to arbitration there. If you joined under section 2.1A, section 14.2(e) applies instead of arbitration until you reach the age of majority.

14.2 The rules. Section 17 (Disputes) of Kavi's Creator Terms — Short-form (kavi.audio/legal/shortform-terms), in the version in force when you last accepted these Program Terms, applies to every dispute arising out of or relating to these Program Terms or the Program as if set out here in full, except that: (a) references to "these Short-form Terms" mean these Program Terms, references to "your Short-form Content on the Service" mean your participation in the Program, and references to creators mean participants; (b) you are treated as resident in the country where you actually live on the date the written description of the dispute is sent (for a company, where its principal office is on that date); the country in your account is evidence of that but is not conclusive; (c) the 30-day opt-out in its Section 17.2(j) runs from when you first accept these Program Terms (or, if you become resident in the United States later, from when you tell Kavi of your new residence by email to legal@kavi.audio or in the dashboard) and is separate from any opt-out under another agreement; (d) the reference in its Section 17.4(e) to its Section 3.4 means section 2.3 of these Program Terms; and (e) if you joined under section 2.1A, then until you reach the age of majority, its Sections 17.2(b), 17.2(f) and 17.3(b) do not apply to claims by or against you, or by or against your Guardian acting for you; those claims are decided by the courts of the place where you live, under the law its Section 17 chooses for your country of residence.

15. Changes

15.1 Kavi may change these Program Terms on at least 14 days' notice by email and in the dashboard, with a summary of what changed. Shorter notice is allowed only where required by law, a court or regulator order, an app store or payment provider, or to deal with an urgent safety, security or fraud risk, and only to the extent needed. A change in your favor may take effect when posted.

15.2 A change is never retroactive: it never reduces or removes a commission already earned and does not apply to disputes that arose before it took effect. If Kavi changes section 14, the earlier version keeps applying to you until you accept the changed Program Terms. If you do not agree with a change, you may leave the Program before it takes effect.

16. General

16.1 Notices. Kavi sends notices to the email address in your Program account and in the dashboard. You may send notices, including a written description of a dispute, by email to legal@kavi.audio or by courier to Kavi at 169 Madison Ave STE 30314, New York, NY 10016, USA.

16.2 Assignment. Kavi may transfer these Program Terms to an affiliate or to a successor to the Service that agrees in writing to assume Kavi's obligations, and will tell you if it does. You may not transfer them without Kavi's written consent.

16.3 Whole agreement. These Program Terms and the documents they refer to are the whole agreement about the Program. A content agreement prevails over them on everything except the Program and commissions.

16.4 Other. If any part is unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver. Sections 4, 8, 9, 10, 11.3, 12.2, 13, 14 and 16 survive the end of your participation. These Program Terms are in English, and the English text is binding; any Telugu translation or summary Kavi provides is a courtesy, for information only.
