Version 1.0 — 20 October 2026
Kavi Creator Terms — Short-form
Kavi Media, Inc. — clickwrap terms for approved creators who post short-form audio on Kavi
Kavi may, as a courtesy, provide a Telugu translation or summary. It is for information only and is not part of these Short-form Terms; the English text alone is binding.
Read this first (plain-English summary, not part of the Terms)
- Only creators Kavi has approved can post short-form. Listeners cannot.
- Short-form is unpaid. Kavi pays no royalties, revenue share or fees for it. The only exceptions are a share of any AI-training license you separately opt into (Section 6.3(c)) and any payment the law makes mandatory (Section 4.1).
- You keep your copyright. You give Kavi a non-exclusive, royalty-free license to host, stream, promote, clip, caption and translate your short-form, and to use it for recommendations. Dubbed audio versions are made only if you switch them on.
- Kavi may also train its own AI models (including text-to-speech) on your short-form, never to imitate your voice or anyone else's and never on music. You can opt out at any time by emailing privacy@kavi.audio; if you live in India, Canada, Illinois, Texas or Washington, it happens only if you tick the box (Section 6.3A).
- When you delete a piece, Kavi stops using it within 30 days, apart from backups, legal holds and any already-published third-party post that a platform has not yet removed after Kavi asked it to.
- You can sell your own sponsorships for your Bites and keep all of the money, as long as you disclose them clearly. Kavi takes nothing. Not allowed in a Bite Kavi designates as made for kids. A sponsored Bite is never played to listeners on an ad-free plan, if Kavi launches one (it has none today).
- Follow the Community Guidelines and only post what you have the right to post. Kavi can remove content and acts on copyright notices.
- US disputes go to individual arbitration, not class actions, unless you opt out of arbitration within 30 days (see Section 17); the class action waiver still applies in court if you opt out. India and Canada have their own rules.
1. About these Terms
1.1 These Creator Terms — Short-form (the "Short-form Terms") are an agreement between you and Kavi Media, Inc., a Delaware corporation with its principal place of business in Alpharetta, Georgia, USA (mailing address: 169 Madison Ave STE 30314, New York, NY 10016, USA) ("Kavi", "we", "us"). They govern Short-form Content you post on the Kavi audio streaming service (kavi.audio), including the Kavi mobile, desktop, web, smart-speaker, connected-TV, in-vehicle and wearable applications, and any successor or rebranded service operated by Kavi or its affiliates (the "Service").
1.2 You accept these Short-form Terms by ticking the unticked box labeled with the acceptance statement shown under "Acceptance (Creator Portal)" below (with links to each document) in the Creator Portal and selecting "Accept and continue". The box is unticked by default. Kavi keeps a record of your account, the version you accepted, when you accepted it, your declared country of residence and the verified email address or mobile number from which you accepted. Kavi emails you a copy of these Short-form Terms and the acceptance record immediately after you accept. This way of accepting applies to every creator, including creators resident in India; these Short-form Terms are not signed by eSign. For a creator resident in India who is under the age of majority, the parent or guardian accepts these Short-form Terms in the same way, as the contracting party (Minor / Guardian Rider, Section 4.2).
1.3 If you accept for a company or other entity that owns your content, you confirm you have authority to bind it, and you also personally give the promises in Section 9 and accept the Section 17 dispute terms by ticking a second box in the Creator Portal; "you" then means that entity and, for Sections 9 and 17, also you personally. You are not personally liable under Section 16 except for your own fraud or willful misconduct. For Section 17, you are treated as resident in the country where you actually live on the date the written description of the dispute under Section 17.1 is sent; the country shown in your Creator Portal account is evidence of that, but is not conclusive. For an entity, its residence for Sections 3.3 and 17 means the country (and state, province or territory) of its principal office (for Section 17, on that date). The individual who accepts for the entity is personally bound only by the provisions these Short-form Terms expressly apply to that individual, and that individual's own residence governs only those personal obligations.
1.4 These Short-form Terms sit alongside the following Creator Policies, as named in the Creator Portal, which lists each with its link and current version: the Creator Portal Terms, Community Guidelines, Copyright/DMCA and Repeat-Infringer Policy, Creator Privacy Notice, AI and Synthetic Content Policy, Sponsorship Disclosure Policy and Community and Brand Rules (together, the "Creator Policies"), which are linked in the Creator Portal and form part of these Short-form Terms. Kavi will not show the acceptance box in the Creator Portal until each Creator Policy is published at its link. (The Payout Policy does not apply to short-form, which is unpaid; any payment under Section 6.3(c) is made as Sections 4.4, 4.5 and 6.3(c) provide.)
2. Definitions
In these Short-form Terms:
- "Ad-Supported Plan" means any way of listening to the Service other than an Ad-Free Plan or its free trial, including listening without a subscription. An "Ad-Free Plan" is a plan that Kavi designates, by notice in the Creator Portal, as one whose listeners hear no advertising; Kavi offers none today.
- "Approved Creator" means a person or entity that Kavi has approved in writing (including through the Creator Portal) to post Short-form Content, and whose approval has not ended.
- "Bite" means a short audio item published in the Service's short-form feed, currently called "Bites". A Bite is either a Short-form Item you upload or a clip that Kavi cuts from a Licensed Work under Section 7.4.
- "Creator Portal" means Kavi's secure online portal for creators (or any successor to it), through which Approved Creators upload Short-form Content, manage their profile and settings, and receive notices.
- "Kavi Master" means any signed Creator Master Agreement, Music Master Agreement or Audiobook Master Agreement between you and Kavi, with its Schedules, riders and addenda.
- "Licensed Work" means any work licensed to Kavi under a Kavi Master.
- "Short-form Content" means audio (and any accompanying title, description, artwork, captions, transcript, tags or other metadata) that you upload to the Service as short-form, through the short-form upload flow. Each separately published piece is a "Short-form Item".
- "Synthetic Audio" means audio that is wholly or partly generated or materially altered by artificial intelligence or similar technology, including a synthetic or cloned voice.
- "Your Sponsorship" means a paid, gifted, affiliate or other commercial arrangement between you and a third party (not Kavi) relating to a Short-form Item.
3. Who can post short-form
3.1 Approved Creators only. Only Approved Creators may post Short-form Content. Listeners and other users of the Service cannot post short-form. Kavi decides in its discretion whether to approve a creator, and does not discriminate on any ground the law prohibits. Any eligibility guidance in the Creator Portal is guidance only. Kavi may decline an application and will give a short reason on request.
3.2 Age. You must have reached the age of majority where you live (18 in most places; higher in some, such as 19 in some Canadian provinces and territories). Kavi approves someone under that age (aged 13 or older) as an Approved Creator only with written approval and a signed Minor / Guardian Rider (Document K).
3.3 Residence. When you apply, you tell Kavi your country and state, province or territory of residence. You must update it in the Creator Portal before you relocate. At launch, Kavi approves only creators resident in the United States, India or Canada. Kavi may later approve a creator resident elsewhere case by case.
3.3A Permission to work. You are legally allowed to do the work you do under these Short-form Terms in every place where you do it. If you are not a citizen or permanent resident of the United States, you will not do paid work in the United States, including recording at Kavi's physical studio, unless the law allows it for you, and you will tell Kavi in writing before you come to the United States to record. Kavi does not check immigration status or work permission, but may postpone or decline an in-person session in the United States if it knows or reasonably believes that you are not allowed to work there. 3.4 Quebec. Kavi will not permit a Quebec resident to accept these Short-form Terms until complete French versions of these Short-form Terms, every Creator Policy incorporated under Section 1.4, and every other related standard-form document that applies to that creator are available and have been provided in the sequence required by Quebec law.
3.5 Account security. You are responsible for keeping your Creator Portal credentials secure and for activity under your account, except activity caused by Kavi's own failure.
4. Short-form is unpaid
4.1 No payment from Kavi. Short-form Content is unpaid. Except for your share of AI-training proceeds under Section 6.3(c), Kavi will not pay you any royalty, revenue share, fee or other amount for Short-form Content or for the license in Section 6, whatever the number of plays, listens or shares. The royalty payable for the license is nil. The consideration you receive for the license is Kavi's promises in these Short-form Terms, including: hosting, storing and distributing your Short-form Content on the Service at Kavi's cost; the promotion described in Section 6.1(c); review, moderation and appeals under Section 8; your right to sell your own sponsorships and keep all of the money (Section 10); Kavi's indemnity in Section 16.2; and Kavi's commitment to stop making deleted content available (Section 7.2). Nothing in this Section waives or reduces any royalty, remuneration or other payment right that applicable law does not permit the relevant author or performer to waive or contract out of. If such a mandatory entitlement applies to a particular Short-form Item or use, Kavi will pay and report the amount the law requires; otherwise Short-form Content remains unpaid as this Section provides.
4.2 Not a Kavi Master. Short-form Content is not a Licensed Work and earns no listening that counts as Qualifying Streams or Qualifying Minutes (as the Kavi Masters define them) and no royalties under any Kavi Master, even if you have signed one. Apart from any amount Section 4.1 requires Kavi to pay by law, the only money you may earn from Short-form Content is from Your Sponsorships (Section 10) and from any share of AI-training proceeds under Section 6.3(c). Commissions under a Kavi affiliate or referral program (Section 14.4) are paid only under that program's terms, are not payment for Short-form Content or the license, and must be disclosed as the Sponsorship Disclosure Policy requires.
4.3 Kavi's own advertising. Kavi may show third-party advertising or sponsor messages alongside or between Short-form Items, but only to listeners on an Ad-Supported Plan, and keeps all revenue from it; listeners on an Ad-Free Plan, including during a free trial of that plan, do not hear or see it. Kavi may also show promotions for its own Service and content to any listener. Kavi will not edit advertising into the audio of a Short-form Item.
4.4 Taxes and conditions for payment. Kavi pays any amount it owes you under these Short-form Terms (including under Section 6.3(c)) only once you have: (a) given, through the Creator Portal and the third-party tax-form provider Kavi uses, a valid Form W-9 if you are a US person, and Kavi's check of your taxpayer identification number with the IRS (TIN match) has succeeded, or, if you are not a US person (including if you are resident in India or Canada), a valid Form W-8BEN (or, for an entity, Form W-8BEN-E) showing your foreign tax identification number; (b) given details of a bank account in your own legal name (or, if you accepted for an entity, in that entity's name); and (c) kept these up to date, telling Kavi within 30 days after any change that makes a form you gave incorrect. Until these conditions are met, Kavi holds the amount: it is not forfeited, it rolls over, it earns no interest, and Kavi pays it in its next payment run after the conditions are met. Kavi withholds only the tax the law requires it to withhold, at a treaty rate where you have a valid treaty claim on file, and including US backup withholding where your taxpayer identification number is missing or the IRS notifies Kavi that it is incorrect, and pays it to the tax authority. Kavi will give you a withholding certificate or other evidence of the amount withheld, in the form the law requires, and issues the information returns the law requires (for example Form 1099 or Form 1042-S). Amounts withheld and paid to the tax authority are treated as paid to you. You are responsible for your own taxes.
4.5 Currency and fees. Any amount Kavi owes you under these Short-form Terms is owed in US dollars. Kavi pays it through Kavi's payout provider. Kavi bears every fee its payout provider charges, including any transfer, currency-conversion, cross-border or settlement fee. The one exception is a payment returned or rejected because you supplied wrong or out-of-date bank details: you bear the payout provider's fee for re-sending it, which Kavi deducts from the re-sent payment and shows on the statement. If you are paid in another currency, conversion is at the exchange rate the payout provider applies on the payout date. Otherwise, you bear only that exchange rate and any charges made by your own bank. Each statement shows the US-dollar amount, the exchange rate used and the fees Kavi paid.
5. Your ownership
5.1 You keep copyright. As between you and Kavi, you own (or your licensors own) all copyright and other rights in your Short-form Content. Nothing in these Short-form Terms assigns or transfers ownership to Kavi, and nothing in them makes any Short-form Content a work made for hire.
5.2 Kavi's own material. Kavi owns the Service, its software and branding, and any rights that exist in captions, transcripts, translations, labels, metadata and recommendations that Kavi generates (some purely AI-generated material may carry no copyright). None of this gives Kavi any ownership of your underlying content.
6. License to Kavi
6.1 Grant. For each Short-form Item, you grant Kavi a non-exclusive, worldwide (throughout the universe), royalty-free, sublicensable (only as set out in Section 6.4) license, for the period in Section 7, to do the following in the media listed in Section 6.2:
(a) host and store — reproduce, store, encode, transcode, cache and back up the Short-form Item;
(b) stream and make available — publish, stream, transmit, perform, display and make the Short-form Item available to listeners, including by in-app offline download protected by digital rights management;
(c) promote — use the Short-form Item, and excerpts of it, to promote the Short-form Item, your profile, your Licensed Works (if any) and the Service;
(d) clip — create excerpts and shortened versions of the Short-form Item and include it in playlists, feeds, compilations, trailers and highlights on the Service;
(e) translate and caption — create and publish transcripts, captions, subtitles and translated text of the Short-form Item, and, subject to Section 6.6, translated or dubbed audio versions;
(f) recommend and organize — analyze the Short-form Item for search, recommendations, metadata, content moderation, safety, labeling, ad placement and analytics, using AI or machine-learning tools on it only for transcription, captions, search, recommendations, moderation, safety screening, detection and labeling of Synthetic Audio, fraud detection, training Kavi's own models under Section 6.3A, and translation or dubbing under Section 6.6; and
(g) adapt technically — make the technical and editorial changes listed in Section 6.5.
6.2 Media. The license covers: (i) the Kavi apps on any device or operating system; (ii) the Kavi website (kavi.audio) and embedded Kavi players; (iii) Kavi's official accounts on third-party social media, messaging and audio or video platforms, for promotion under Section 6.1(c); (iv) Kavi's own email, push notifications and advertising, for promotion; and (v) any successor or new format of the Service, whether now known or later developed, used for the same purposes. If you live in India, (v) covers a new format only if it is in commercial use when you upload the Short-form Item or you accept it in the Creator Portal. Kavi will use a Short-form Item on third-party platforms under (iii), or in a dubbed version, only after it has been available on the Service for at least 30 days without a copyright or legal complaint. If the Short-form Item contains any music, Kavi will make that use of its audio only where Kavi has verified written permission covering every sound-recording and composition interest needed for that use, including any interest controlled by a co-writer, publisher, administrator or collecting society. If complete permission is unavailable, Kavi may promote the Short-form Item off the Service only without its audio, and will not make a dubbed version of it.
6.3 What the license does not include. The license does not allow Kavi to:
(a) sell or license your Short-form Content to third parties as a standalone product;
(b) create a digital replica or clone of your voice or likeness, or use your Short-form Content in or with any model to reproduce or imitate your voice or likeness. At launch the AI-Voice & Digital Replica Consent (Document J) covers only works delivered under a Kavi Master and does not cover Short-form Content, so Kavi will not make any such use. This does not limit a separate Voice License Agreement you may sign with Kavi, which never uses your Short-form Content;
(c) license your Short-form Content to any third party to train a generative AI model, unless you give a separate written opt-in for that Short-form Item and the Short-form Item contains no voice, name or likeness of anyone other than you (or each such person has given Kavi their own separate written consent to that training). You may revoke the opt-in for future uses. If you are resident in India, the opt-in will meet the consent rules of India's Digital Personal Data Protection Act, 2023 from 13 May 2027. Kavi will grant such a license only to a licensee that agrees in writing with Kavi not to use the Short-form Item to build, train or improve any model, voice or feature that can generate audio imitating your voice or likeness, or the voice or likeness of anyone else in it, and not to generate any such audio. Kavi will enforce that agreement. An opt-in entitles you to 50% of the money Kavi actually receives from that license for your Short-form Item, net only of: (i) refunds and chargebacks Kavi actually gives on that money within 30 days after receiving it; (ii) store, platform, ad-tech and payment-processor fees actually charged on it; (iii) commissions actually paid on it to third-party agencies (never to Kavi's own staff); and (iv) taxes deducted at source from it (other than Kavi's own income taxes). Kavi makes no other deduction and no later offset against your share. Kavi may reduce that 50% share, for money it receives after the change, by giving at least 30 days' notice under Section 18.1; Section 18.3's re-acceptance rule does not apply to that change, and you may revoke your opt-in before it takes effect. If you are resident in India, the reduction applies to a Short-form Item you have already opted in only if you accept it in the Creator Portal or in writing after the notice; silence is not acceptance, and until you accept, the 50% share continues for that Short-form Item. Subject to the conditions for payment in Section 4.4, Kavi will pay you within 45 days after the end of the month in which it receives the money, with a statement showing the amount received and each deduction as a separate line. No opt-in is available for, and this paragraph never applies to, any music, including an excerpt of a Master under clause 5.3A of the Music Master Agreement;
(d) use your name, voice or likeness to suggest that you endorse a third-party product, service, brand or political cause; or
(e) let any of its AI vendors train, fine-tune, improve or evaluate any model on your Short-form Content, other than Kavi's own models that a vendor trains solely for Kavi under Section 6.3A. Each of Kavi's AI vendors is bound by its written terms, together with the opt-out Kavi has exercised under them, not to do so.
6.3A Kavi's own AI models. Kavi may use your Short-form Content, including its audio (such as tone, rhythm and intonation) and its transcript, free of charge, to train, fine-tune, evaluate and improve AI and machine-learning models that Kavi owns or exclusively controls (including speech-recognition, transcription, translation and speech-synthesis (text-to-speech) models). No payment is due. Kavi owns those models and may license them (speech-synthesis models only as a hosted service, never as a copy of the model), but never your Short-form Content or any dataset containing it. Kavi will never use any such model to imitate or reproduce your voice or anyone else's, will use reasonable measures to stop it doing so, and will never present a synthetic voice as yours. If you live in India, Canada, Illinois, Texas or Washington, Kavi does this only if you tick the separate box under "Acceptance (Creator Portal)". Otherwise it applies unless you opt out. You may opt out, or withdraw, at any time by emailing privacy@kavi.audio (any clear request counts); within 30 days after receiving it, Kavi stops using your Short-form Content in new training and deletes it from its training datasets, but need not retrain models already trained. Kavi will train on the voice of anyone else in a Short-form Item only if that person has agreed and not opted out, and never on anyone under 18 (or under the age of majority where they live, if higher). This Section never applies to any music, including an excerpt of a Master under clause 5.3A of the Music Master Agreement, which Kavi excludes from all training.
6.4 Sublicensing. Kavi may sublicense the rights in Section 6.1 only to: (a) its service providers (such as hosting, content delivery, captioning and moderation vendors), solely to provide services to Kavi; (b) app stores and platforms through which the Service is distributed, to the extent needed to make the Service work; (c) third-party platforms on which Kavi's official accounts post promotional material under Section 6.1(c), to the extent those platforms' terms require; and (d) Kavi's affiliates and successors under Section 19.4. Kavi remains responsible for its sublicensees' use.
6.5 Edits you consent to. You consent to Kavi making the following changes, as long as they do not materially change the meaning of your Short-form Item: loudness normalization, format conversion and compression; trimming silence; cutting excerpts and shortened versions; adding captions, transcripts, translated text and translated or dubbed audio versions (subject to Section 6.6); adding sponsorship, AI or Synthetic Audio labels and disclosures; adding Kavi branding, intros or outros of no more than 5 seconds; and muting or removing parts that breach the Creator Policies or the law. If you live in India, this is your express consent to these specific changes for the purposes of sections 57 and 38B of the Copyright Act, 1957, and not a general waiver. Except as this Section allows for India, you will not object to these changes on the basis of your moral rights. Nothing in this Section waives any moral right that applicable law does not permit the author or performer to waive, or excludes a claim or remedy under sections 57 or 38B of the Copyright Act, 1957 for a specific change that, as actually applied, a competent court or tribunal finds prejudicial to the author's or performer's honor or reputation. If you live in India, you may withdraw this consent for future uses of a specific change that you reasonably show, as actually applied, has prejudiced your honor or reputation, on 30 days' written notice describing that use. If you live in Canada, you waive your moral rights in your Short-form Item, including your moral rights as an author under section 14.1 and as a performer under section 17.1 of the Copyright Act (Canada), in favor of Kavi and anyone Kavi authorizes, but only for these changes and the uses in Section 6.1.
6.6 Dubbed audio versions (opt-in). Kavi will publish a dubbed or translated audio version of a Short-form Item only if you have switched on "Allow dubbed versions" in the Creator Portal (off by default), for the languages you select. You may switch it off at any time; Kavi will then stop making new dubbed versions and remove existing ones within 30 days. Dubbed versions will use only stock synthetic voices that are not modeled on any person, or a Kavi Voice (a synthetic voice Kavi has licensed from a consenting adult voice actor under a Voice License Agreement, never modeled on you or anyone in the Short-form Item), never a voice-preserving or voice-matching feature of a dubbing tool, and will be labeled as translated and, where applicable, as Synthetic Audio. Kavi will not use a replica of your own voice in any Short-form Item or dubbed version of one unless you have signed an AI-Voice & Digital Replica Consent (Document J) that covers that use. At launch Document J covers only works delivered under a Kavi Master and does not cover Short-form Content, so Kavi will not make any such use.
6.7 Name, voice and likeness. You allow Kavi to use your name, stage name, approved image and biography, and your voice as it appears in your Short-form Content, to identify you and to promote your Short-form Content and the Service, for the period in Section 7.
6.8 No obligation to use; no lapse. Kavi does not have to publish, keep available, feature or recommend any Short-form Item, and does not guarantee placement, reach or audience. The license in Section 6 does not lapse if Kavi does not exercise any of the rights in it within one year after you upload a Short-form Item, or for any longer period.
7. How long the license lasts
7.1 Per item. The license in each Short-form Item is granted for the full term of copyright and performers' rights in it, including any renewal or extension, and ends earlier only as this Section 7 or Section 13.3 provides. The license in Section 6 begins for each Short-form Item when you upload it and ends for that Short-form Item when Kavi has stopped making it available under Section 7.2, and in any case within 30 days after it is deleted from the Service, whether you delete it or Kavi removes it. After the license ends for a Short-form Item (under this Section 7.1 or Section 13.3), Kavi keeps a non-exclusive, royalty-free license limited to the uses in Section 7.2(a) to (d), for as long as those uses continue as Section 7.2 permits.
7.2 After deletion. Within 30 days after deletion, Kavi will stop making the Short-form Item, and any clip, excerpt, caption, transcript, translation or dubbed version made from it, available on the Service and stop new promotional uses. After deletion, Kavi may still:
(a) keep copies in backups, which are overwritten or deleted in Kavi's normal backup cycle and are not used to make the content available;
(b) keep copies where needed to comply with law, a court or regulator order, a law-enforcement request, a legal hold or to establish, exercise or defend legal claims (including copyright and safety investigations);
(c) leave in place, only as this paragraph (c) allows, promotional material containing the deleted Short-form Item that Kavi published on a third-party platform before deletion. Kavi will request removal of that material from every third-party platform on which Kavi published it, and will remove it from every account Kavi controls, within 30 days after deletion. Solely where a third-party platform prevents or delays removal despite Kavi's timely request, the license continues narrowly for that already-published copy until removal occurs; Kavi may make no new use of it; and
(d) let a listener's downloaded copy remain on their device until the Service next checks in, which removes it automatically. Downloads must check in at least once every 30 days, so a deleted Short-form Item stops playing on every device within 30 days after deletion.
7.3 Ending your approval. If your status as an Approved Creator ends, your Short-form Items stay on the Service under these Short-form Terms unless you delete them, except where Kavi removes them under Section 13. You can delete them at any time.
7.4 Relation to Kavi Masters. Clips, trailers and Bites that Kavi cuts from a Licensed Work are governed by the relevant Kavi Master, not by these Short-form Terms. As the Kavi Master provides, a Bite Kavi cuts from a Licensed Work earns no royalty under the Kavi Master or these Short-form Terms, even when cut from a paid Licensed Work, if it is no longer than 90 seconds, is labeled as a clip and is linked to the full Licensed Work. Kavi makes no Bites from music Masters (Music Master Agreement clause 5.3), but an artist or master co-owner who has released a song on the Service under a Music Master Agreement may include an excerpt of under 30 seconds of that recording in their own Short-form Item, as clause 5.3A of that Agreement allows; that excerpt is licensed under the Music Master Agreement and earns no royalty; an in-app music preview of under 30 seconds, labeled and linked to the full Master, earns no royalty (Music Master Agreement clauses 4.1(e) and 12.1); and Kavi makes Bites from an audiobook only where its Book Schedule permits them (Audiobook Master Agreement clause 6.6). A longer Kavi-made excerpt played on the Service, or a set of excerpts that together substitutes for the Licensed Work, counts as listening to the Licensed Work, and royalties accrue under the Kavi Master when listening to the Licensed Work meets the test in that Kavi Master (Qualifying Streams for music, Qualifying Minutes for shows and audiobooks). Deleting a Short-form Item does not affect any Licensed Work. Kavi labels Bites it cuts from a Licensed Work as clips of that Work, with a link to the full Work, and labels your Short-form Items as posted by you, so that you and listeners can tell them apart.
8. Content standards and moderation
8.1 Creator Policies. Your Short-form Content must comply with the Community Guidelines and the other Creator Policies, which include the categories of content prohibited by India's IT Rules (Rule 3(1)(b)).
8.2 Acceptance criteria, not instructions. You decide what to make, how, when and where. Kavi's review of Short-form Content is limited to checking it against: (a) the technical specifications in the Creator Portal; (b) the Creator Policies; and (c) the law. Kavi does not set your hours, topics, schedule or volume, and there is no minimum or maximum number of Short-form Items.
8.3 Review and moderation. Kavi may screen Short-form Content before or after publication, using people, automated tools or both, only to check it against the criteria in Section 8.2. Kavi does not select or commission Short-form Items for publication and does not edit them except as Section 6.5 allows. Kavi may also remove or restrict a Short-form Item on the grounds in Section 13.1. Kavi may decline to publish, age-restrict, label, limit distribution of, or remove a Short-form Item that does not meet the criteria in Section 8.2, and will tell you which criterion it relied on where practicable and lawful.
8.4 Appeals. You may ask Kavi to reconsider a decision under Section 8.3, 13.1 or 13.3 through the Creator Portal within 30 days after Kavi tells you of it. Kavi will review the request in good faith and tell you the outcome and the reasons through the Creator Portal within 30 days after it receives the request (or any shorter period the law requires, including for a complaint under India's IT Rules).
8.5 Grievance Officer (India). Kavi's Grievance Officer for India, whose name and contact details are published at kavi.audio/legal/grievance-officer (privacy@kavi.audio), receives complaints about Short-form Content and moderation decisions, including under India's IT Rules. Kavi acknowledges each complaint within 24 hours and resolves it within 7 days, or within any shorter period the law requires, including removal within 36 hours after receiving a valid complaint from India asking Kavi to remove content of a kind that India's IT Rules require users not to post (for example obscene content, content harmful to children, impersonation, or deliberately false or misleading content), and within 2 hours after receiving a complaint from India that content impersonates a person (including by AI) or is an intimate image or audio of a person published without their consent. The 36-hour period does not apply to a complaint that content belongs to someone else, infringes a copyright, trademark or patent, or breaks another law; Kavi resolves those within 7 days (copyright complaints follow Section 11).
9. Your promises
9.1 For every Short-form Item, you promise that:
(a) rights — you own or control all rights needed to grant the license in Section 6, and your Short-form Content does not infringe anyone's copyright, trademark, privacy, publicity, personality or other rights;
(b) music — any music or sound recording in it is your own original work or licensed to you in writing for every use granted in Section 6 that Kavi actually makes; it contains no commercial tracks you have not licensed, and you will provide proof of clearance on request; and if you are a member of a performing-rights or collecting society (such as ASCAP, BMI, SOCAN or IPRS) and use your own compositions, you will tell Kavi in the Creator Portal;
(c) consents — everyone whose voice is recorded in it, and everyone identified in it in a way that needs their consent under the law that applies, has consented in writing (Kavi's Guest / Participant Release or Cast & Writer Release, or an equivalent). A recorded verbal consent (including the recorded consent script in the Guest / Participant Release) does not meet this requirement for Short-form Content: a signed written consent is needed before posting. For every cast member or writer, that written consent is a Cast & Writer Release (or an equivalent written grant) that covers that Short-form Item and lets you sublicense the rights in it to Kavi for the uses in Section 6. Before recording began, you obtained every participant's consent to the extent required by the law applicable to that participant or the recording, including any all-party-consent rule that may apply because of a participant's location; this covers every co-host, guest, cast member, caller and other person whose voice is captured. No one under 13 appears at all. No one under the age of majority where they live (18 in most places; higher in some, such as 19 in some Canadian provinces and territories) appears unless, before posting, you have uploaded through the Creator Portal: (i) for a guest, a Guest / Participant Release signed by their parent or guardian; (ii) for a cast member or writer, with Kavi's prior written approval, a Cast & Writer Release signed by their parent or guardian and a signed Minor / Guardian Rider; and (iii) in either case, every child-performer or child-work permit that the law of the place of recording requires (for example, where the minor is paid). For a minor resident in India, the release must be supported by verifiable parental consent obtained through Kavi's process;
(d) no AI voice of a real person without consent — it does not contain a synthetic, cloned or imitated voice or likeness of any real person (living or deceased) unless that person has given you written consent covering this use or, after that person's death, the person or persons then legally entitled to control the applicable postmortem voice, likeness, publicity or digital-replica right (including any transferee, successor in interest or other person authorized by applicable law; an estate or legal representative only to the extent it holds that authority) have given you that consent, and you will provide that consent, and reasonable evidence of that authority, on request;
(e) AI disclosure and labeling — you have disclosed to Kavi in the upload flow any AI-generated voice, music or script in it, and any Synthetic Audio carries the visible label and metadata (and any audible disclosure the law requires) required by Kavi's AI and Synthetic Content Policy and India's IT Rules amendment of 2026 on synthetically generated information; you will not remove or obscure a label Kavi adds;
(f) lawful content — it is not defamatory, obscene, deceptive or otherwise unlawful, and does not breach any confidentiality obligation;
(g) sponsorships disclosed — any Your Sponsorship is disclosed as required by Section 10; and
(h) no conflict — posting it does not breach any agreement you have with anyone else, including any exclusivity in a Kavi Master or with another platform.
9.2 Information accuracy. Information you give Kavi (including identity, age, residence and rights information) is true and kept up to date.
9.3 Music licenses. Kavi holds no collecting-society license, and nothing in these Short-form Terms reduces your promises in Section 9.1(b). You must not post, and Kavi will not publish, a Short-form Item containing a musical work whose performing right is assigned to or administered exclusively by a society (such as IPRS or SOCAN), unless it is an excerpt under clause 5.3A of the Music Master Agreement of a song in your own accepted Release for which that society's written consent covering short-form use is on file (Music Master Agreement clause 6.9(b)). If you belong to a society whose membership is non-exclusive (for example ASCAP or BMI) and post your own music, you are solely responsible for any notice, deduction or claim your society requires or makes because of that use. Kavi does not offer a short-form music library at launch.
10. Your own Bites sponsorships
10.1 Permitted. You may sell, and be paid for, Your Sponsorships in your Bites, except in a Bite that Kavi designates as made for kids (Sponsorship Disclosure Policy, section 6.5), and you keep 100% of what the sponsor pays you. Kavi takes no share and charges no fee. Kavi plays a Bite that contains Your Sponsorship only to listeners on an Ad-Supported Plan (as in Section 4.3); listeners on an Ad-Free Plan, including during a free trial of that plan, are never served that Bite. This can reduce the Bite's reach, and Kavi does not guarantee any audience for it (Section 6.8).
10.2 You are responsible for the deal. Kavi is not a party to Your Sponsorship. You are responsible for the sponsor agreement, its performance, the sponsor's claims and all taxes on what you receive.
10.3 Disclosure. You must clearly disclose every Your Sponsorship (paid, gifted, affiliate or any other material connection) in a way listeners will notice and understand:
(a) in the audio — a spoken disclosure in plain words, such as "This Bite is sponsored by" or "paid partnership with" followed by the brand's name, at the start of the Bite before the sponsored message and again at the end, delivered at a volume, speed and cadence listeners can easily hear and understand, and in the same language as the Bite (for a Telugu Bite, in Telugu), consistent with the Sponsorship Disclosure Policy and applicable US advertising law;
(b) in the upload flow — by switching on Kavi's paid-partnership setting, so Kavi can display a visible label;
(c) for listeners in India — using a label listed for India in the Sponsorship Disclosure Policy (including any Telugu equivalent listed there), and not an abbreviation such as "spon" or "collab"; for a Bite heard in India, the spoken disclosure is also given at the beginning and the end of the Bite, and before and after every break in it (if any), as ASCI's guidelines require for audio; and
(d) if you are resident in Canada — in a form consistent with the Sponsorship Disclosure Policy and the Canadian law that applies.
10.4 Restrictions. Your Sponsorship must comply with the Sponsorship Disclosure Policy and Community Guidelines, including any prohibited or restricted sponsor categories listed there. It must not: (a) state or imply that Kavi endorses the sponsor; (b) use Kavi's name, logo or branding in the sponsor's materials without Kavi's written consent; or (c) breach any content-level exclusivity or sponsorship restriction in a Kavi Master you have signed. Sponsorships in shows, episodes and other Licensed Works are governed by the relevant Kavi Master, not this Section.
10.5 Kavi's role. Kavi may add or correct sponsorship labels and disclosures, ask you to fix a missing disclosure, and limit or remove a Bite that does not comply with this Section.
10.6 Brand Introductions. Kavi may, but need not, make a Brand Introduction as defined in, and only as described in, section 8.5 of the Sponsorship Disclosure Policy. It is a courtesy with no cash value. In it, Kavi is not your agent, manager or representative, takes no fee, commission or share from you or the brand, and guarantees no deal. Any deal is Your Sponsorship, made directly with the brand, and this Section 10 applies to it.
11. Copyright complaints (DMCA notices and counter-notices)
11.1 Policy. Kavi respects copyright and responds to notices of claimed infringement in line with the US Digital Millennium Copyright Act, 17 U.S.C. §512, and its Copyright/DMCA and Repeat-Infringer Policy. Kavi's designated agent is registered with the US Copyright Office (registration DMCA-1075495).
11.2 Notices. A copyright owner (or authorized agent) who believes a Short-form Item infringes may send a written notice to Kavi's designated agent, at the name, address and email shown in the US Copyright Office's DMCA Designated Agent Directory entry for registration DMCA-1075495 and in Kavi's Copyright/DMCA and Repeat-Infringer Policy. To be effective, the notice must be in writing and include: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on the Service are covered by a single notice, a representative list of such works; (c) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Kavi to locate the material; (d) information reasonably sufficient to permit Kavi to contact the complaining party, such as an address, telephone number and, if available, an email address; (e) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notice is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
11.3 What Kavi does. On receiving a notice that substantially complies, Kavi will promptly remove or disable access to the Short-form Item, tell you, and give you a copy of the notice (redacted as the law allows).
11.4 Counter-notices. If you believe the Short-form Item was removed by mistake or misidentification, or that you have the right to post it, you may send a counter-notice to the designated agent. To be effective, the counter-notice must be in writing and include: (a) your physical or electronic signature; (b) identification of the material that has been removed or to which access has been disabled and the location at which it appeared before it was removed or disabled; (c) a statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and (d) your name, address and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, or, if your address is outside the United States, for any judicial district in which Kavi may be found (this consent is needed only for the copyright counter-notice and does not change how other disputes with Kavi are decided under Section 17), and that you will accept service of process from the person who provided the original notice or an agent of that person. On receiving a valid counter-notice, Kavi will promptly send a copy to the person who sent the original notice and tell them that Kavi will replace the removed material or cease disabling access to it in 10 business days. Kavi will restore the material not less than 10 and not more than 14 business days after receiving the counter-notice, unless its designated agent first receives notice that the person who sent the original notice has filed an action seeking a court order to restrain you from infringing activity relating to the material.
11.5 Misrepresentation. Knowingly false notices or counter-notices may expose the sender to liability.
11.6 Repeat-infringer policy. Kavi will, in appropriate circumstances, terminate the content-posting/service account of a subscriber or account holder (including you) who is a repeat infringer for purposes of 17 U.S.C. §512(i)(1)(A). Kavi applies the repeat-infringer rule in section 8 of its Copyright/DMCA and Repeat-Infringer Policy, which is the one repeat-infringer rule for Short-form Content and which also publishes Kavi's designated-agent details. Under that rule, for Short-form Content: (a) the sanction is termination of the content-posting/service account for Short-form Content, including all short-form upload and posting functions and your Approved Creator status (and, where those are all the content-posting functions you have, the whole account); it does not end upload or delivery of Works under a Kavi Master, which ends only as that Kavi Master provides (for the Creator Master Agreement, clauses 16.4(e) and 16.4A); Kavi may keep a separate read-only channel solely to pay accrued amounts and to provide statements, tax forms, contracts and legal notices, and that read-only channel does not permit uploading, posting, delivery or other use of the Service; (b) a notice counts only if it substantially complies with Section 11.2 and was not withdrawn and not answered by a valid counter-notice, and a notice is not counted while a counter-notice is pending under Section 11.4; (c) before acting, Kavi gives you written notice with its reasons and the notices relied on, and considers any response you send within 14 days, but Kavi may act sooner where infringement is clear and willful; and (d) Kavi keeps a log of notices, may block a person whose account was terminated under this Section from registering again to upload or post, and may block re-uploads of removed material. If that policy differs from (a) to (d) for Short-form Content, (a) to (d) apply. For Works under a Kavi Master, that policy and the Kavi Master apply, and nothing in this Section changes them. Termination of the account does not by itself terminate any Kavi Master, Schedule or copyright license, which is affected only as the applicable Kavi Master itself provides (including any cross-default it contains). If you hold a Kavi Master, Kavi will keep the read-only channel in (a) open for you for payments, statements, tax forms, Schedules, contracts and legal notices under that Kavi Master.
11.6A Kavi's own uses are not covered by the safe harbor. The DMCA safe harbor (and similar hosting protections elsewhere) covers material stored at the direction of a user. It does not cover Kavi's own acts, such as Kavi's compilations, trailers and highlights (Section 6.1(d)), dubbed or translated versions (Section 6.6) and Kavi's reposts on its official social accounts (Section 6.2(iii)). For those uses Kavi relies on your license in Section 6 and your promises in Section 9. Kavi remains responsible for material it adds and changes it makes (Section 16.2).
11.7 Other countries. Kavi applies the notice and counter-notice process in this Section 11 to complaints from every country. In addition, Kavi complies with orders of Indian courts and authorized Indian government agencies within the time India's IT Rules require (which can be as short as 3 hours), and with Canadian notices of claimed infringement and court decisions. You agree to cooperate promptly.
12. Child safety (zero tolerance)
12.1 Zero tolerance. Kavi has zero tolerance for child sexual abuse material and for any content that sexualizes, grooms, exploits or endangers a minor ("CSAM"). This includes audio, text, artwork, metadata, links and Synthetic Audio.
12.2 What Kavi does. If Kavi becomes aware of actual or apparent CSAM, or of content involving the sexual exploitation, trafficking or enticement of a minor, Kavi will: (a) preserve the material and related information securely, as the law requires (in the US, for at least one year after a report); (b) remove it from the Service immediately and without notice; (c) permanently end the Short-form and other user-posting privileges and the Approved Creator status of anyone who posted it. If that person also holds a Kavi Master, Kavi will keep a separate read-only channel for statements, payments, tax forms, Schedules and legal notices unless applicable law requires otherwise, and any effect on that Kavi Master or its Schedules occurs only as that Kavi Master provides, except to the extent applicable law requires otherwise; (d) report it as the law requires, including to the National Center for Missing & Exploited Children's CyberTipline (US), the Special Juvenile Police Unit, local police or the national cyber-crime reporting portal (India), and the designated reporting organization and police (Canada); and (e) cooperate with the authorities. None of the notice, appeal or restoration rights in these Short-form Terms apply.
12.3 Your duty to report. If you come across content on the Service you believe is CSAM, report it immediately to safety@kavi.audio (or through the in-app report tool, once Kavi offers one). Do not download, copy or share it.
12.4 Intimate images. Anyone (including people who do not use the Service) may ask Kavi to remove an intimate image or audio of them published without consent, including an AI-generated or morphed one, by email to safety@kavi.audio (kavi.audio/legal/intimate-image-removal explains the process). Kavi will remove or disable access to the content within 48 hours after receiving a valid request, or within any shorter period the law requires (in India, currently 2 hours for a complaint under the IT Rules), and will make reasonable efforts to remove identical copies. Posting such content is a serious breach under Section 13.3(c).
13. Kavi's right to remove content and restrict access
13.1 Removal. Kavi may remove, disable access to, or restrict any Short-form Item, at any time, if Kavi reasonably believes that it: (a) breaches these Short-form Terms or the Creator Policies; (b) is the subject of a copyright notice, legal complaint, court or regulator order or law-enforcement request; (c) creates legal, safety or reputational risk for Kavi, listeners or others; or (d) is required to be removed by an app store or by law.
13.1A Washington health-data rights. If a resident of Washington State, USA (you, or anyone else whose voice is in a Short-form Item) exercises a right under Washington's My Health My Data Act (chapter 19.373 RCW) that requires Kavi to stop using or to delete a recording of their voice, Kavi may remove the affected Short-form Item, or the affected part of it, under Section 13.1(d). Section 7 then applies as it does to any removal. Any amount already earned under Section 6.3(c) remains payable, and neither party owes the other damages or any other payment because of the removal.
13.2 Notice. Kavi will tell you about a removal and the reason, unless the law prohibits it, it would compromise an investigation or safety, or Section 12 applies.
13.3 Suspension or ending approval. Kavi may suspend or end your Approved Creator status for short-form for: (a) material breach of these Short-form Terms or the Creator Policies, not cured within 14 days of notice where the breach can be cured; (b) repeat infringement under Section 11.6; (c) CSAM or non-consensual intimate images or other serious unlawful content, immediately; (d) fraud or manipulation of plays or recommendations; or (e) a legal requirement. Kavi may also discontinue the short-form feature for everyone on 30 days' notice. When it does, Kavi stops making Short-form Items available within that notice period. The license in each Short-form Item ends when that notice period ends, and Section 7.2(a) to (d) apply from that date. Discontinuing the feature never affects any Kavi Master.
13.4 Your right to stop. You may stop posting at any time and delete any Short-form Item at any time.
14. Your independent status
14.1 No employment or agency. You are an independent creator. Nothing in these Short-form Terms makes you an employee, worker, contractor, partner, joint venturer, agent or representative of Kavi. You receive no wages, benefits or expenses from Kavi, and you bear your own costs. Kavi does not control how, when or where you create.
14.2 No authority. You have no authority to negotiate, sign, accept or manage anything on Kavi's behalf, or to make any promise binding Kavi. This applies to every creator, including creators resident in India or Canada. In particular, you must not negotiate, conclude or accept any contract, order, sponsorship or advertising deal in Kavi's name or on its behalf, and you must not hold out any place as Kavi's office or place of business. Your own sponsorships under Section 10 are not affected.
14.3 Freedom to work elsewhere. These Short-form Terms are non-exclusive. You may post the same or other content anywhere else, subject only to any separate exclusivity you have agreed in a Kavi Master or elsewhere.
14.4 Promotion and affiliate programs. Wherever you live, you may promote your own Short-form Items and their listing on the Service, and you may take part in any Kavi affiliate or referral program on that program's published terms. Sharing a link or code through which listeners subscribe on Kavi's standard terms is not negotiating or accepting a contract or order for Kavi under Section 14.2.
15. Disclaimers and limitation of liability
15.1 Service "as is". To the fullest extent the law allows, the Service and short-form features are provided "as is" and "as available". Kavi does not promise that the Service will be uninterrupted or error-free, that any Short-form Item will be stored without loss, or that you will gain any audience, sponsorship or income. Keep your own copies of your content.
15.2 Indirect loss. To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sponsorship income, data or goodwill, arising out of these Short-form Terms.
15.3 Cap. To the fullest extent the law allows, each party's total liability arising out of these Short-form Terms is limited to the greater of (a) the total amount Kavi paid you under these Short-form Terms in the 12 months before the claim arose (which is expected to be zero) and (b) US$1,000.
15.4 Exclusions. The limits in Sections 15.2 and 15.3 do not apply to: (a) each party's indemnity obligations under Section 16; (b) any amount Kavi owes you under Section 6.3(c); (c) fraud, gross negligence or willful misconduct, including willful infringement and willful use of Short-form Content outside the license in Section 6; (d) a party's breach of its data-protection obligations; (e) a party's liability for CSAM or other content it posted; (f) any claim for an injunction or other non-monetary relief; or (g) any liability that cannot be limited by law.
16. Indemnities
16.1 By you. You will defend, indemnify and hold harmless Kavi and its officers, directors, employees and affiliates against third-party claims, and the resulting losses, damages, fines and reasonable legal costs, arising from: (a) your Short-form Content (other than material Kavi added or changes Kavi made); (b) breach of your promises in Section 9; (c) Your Sponsorships; or (d) your breach of law.
16.2 By Kavi. Kavi will defend, indemnify and hold you harmless against third-party claims, and the resulting losses, damages and reasonable legal costs, arising from material Kavi adds to your Short-form Item (such as advertising, Kavi branding, Kavi-supplied music, captions, translations, dubbed versions and labels), including errors in Kavi's translations, or from Kavi's edits that change the meaning of your Short-form Item.
16.3 Process. The party seeking indemnity must notify the other promptly, let it control the defense (with counsel reasonably acceptable to both), and cooperate. No settlement admitting fault or imposing obligations on the indemnified party may be made without its consent, not unreasonably withheld.
17. Disputes
17.1 Talk first. Before starting any formal claim, the claiming party will send the other a written description of the dispute, and both will try in good faith to resolve it for 30 days.
17.2 Creators resident in the United States (and anyone not covered by 17.3 or 17.4).
(a) Governing law. These Short-form Terms are governed by the laws of the State of Georgia, USA, and applicable US federal law, without regard to conflict-of-laws rules, except that the Federal Arbitration Act (9 U.S.C. §1 and following) alone governs the interpretation and enforcement of Sections 17.2(b) to 17.2(j), including their procedural aspects. Nothing in this Section removes any right that the law of the place where you live gives you and does not allow to be waived by contract.
(b) Arbitration instead of court. You and Kavi each give up the right to have any dispute between you and Kavi decided in court by a judge or jury, except as Sections 17.2(d), (e), (h), (i) and (j) allow. Any dispute arising out of or relating to these Short-form Terms or your Short-form Content on the Service that is not resolved under Section 17.1 will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (including their Expedited Procedures where they apply), or under any other AAA rules that the AAA determines apply to the dispute, in each case as modified by this Section 17.2, before a single arbitrator, seated in Atlanta, Georgia. The arbitration will be decided on written submissions and documents only, unless the arbitrator decides a hearing is necessary, in which case it will be held by video conference. The arbitrator may award the same individual relief a court could award.
(c) Fees. Your share of all AAA filing and administrative fees and arbitrator compensation will not exceed US$225 in total (or any lower amount the applicable AAA fee schedule sets for you). Kavi pays all other arbitration fees and arbitrator compensation when the AAA invoices them. Each party bears its own legal costs unless the arbitrator awards them under applicable law.
(d) Small claims. Either party may instead bring an individual claim in a small-claims court with jurisdiction in the county where you live or in Fulton County, Georgia.
(e) Interim relief and IP. Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction to stop infringement or misuse of its intellectual property, pending arbitration.
(f) Individual claims only. Disputes will be resolved only on an individual basis. Neither party may bring, join or participate in any class, collective, consolidated or representative action or arbitration against the other, and the arbitrator may not consolidate the claims of different persons or award relief to anyone other than the individual parties. The assignment of several individual cases to one arbitrator under Section 17.2(g) is not consolidation.
(g) Mass filings. If the AAA determines that its Mass Arbitration Supplementary Rules apply to a group of demands that includes a demand under these Short-form Terms, those Supplementary Rules and the AAA's related fee schedule apply, including the appointment of a process arbitrator and the assignment of several cases to one merits arbitrator who decides each case on its own merits. Kavi's obligation to pay fees under Section 17.2(c) then applies to the fees charged under that fee schedule. Nothing in this Section 17.2(g) prevents any claimant from having their own claim heard and decided individually.
(h) Claims the law does not allow to be waived or arbitrated. Sections 17.2(b) and (f) do not apply to: (i) any claim that applicable law does not allow a pre-dispute agreement to send to arbitration or to limit to individual proceedings, including, at the claimant's election, a sexual harassment or sexual assault dispute that federal law allows the claimant to keep out of arbitration; (ii) any request for public injunctive relief under California law; and (iii) any non-individual (representative) claim under the California Private Attorneys General Act. Such a claim will be decided in court, and the court proceedings will be stayed, to the extent the law allows, until the individual claims in arbitration are decided.
(i) If the waiver fails. If Section 17.2(f) is found unenforceable for a claim, that claim (and only that claim) will be decided in court and never in class, collective or representative arbitration. The rest of this Section 17 continues to apply.
(j) 30-day opt-out. You may opt out of Section 17.2(b) by sending an email to legal@kavi.audio within 30 days after you first accept these Short-form Terms, giving your name and stating that you opt out of arbitration. If Section 17.2 first applies to you because you became resident in the United States after accepting, you may opt out in the same way within 30 days after you update your residence in the Creator Portal. Opting out has no other effect on these Short-form Terms or on how Kavi treats you. If you opt out, disputes will be decided by the state or federal courts for the county where you live or for Fulton County, Georgia (at the claimant's choice), and Sections 17.2(a), (d), (e) and (f) continue to apply to the extent the law allows.
17.3 Creators resident in India. If you are resident in India:
(a) these Short-form Terms are governed by the laws of India;
(b) if a dispute is not resolved under Section 17.1, it must be resolved by final and binding arbitration, which either party may start, under the Arbitration and Conciliation Act, 1996 (India), seated in Hyderabad, Telangana, India. The arbitration is administered by Presolv360, an independent dispute resolution institution, under its Dispute Resolution Rules in force when the arbitration starts, and is conducted on its online platform, before a sole arbitrator appointed by agreement of the parties within 30 days after a written request to arbitrate or, failing agreement, appointed under those Rules. If Presolv360 cannot or will not administer the arbitration, the sole arbitrator is appointed as the Arbitration and Conciliation Act, 1996 provides;
(c) all proceedings are conducted online and in English, with a Telugu interpreter provided by Kavi on your request; where the amount in dispute is below ₹5,00,000 (converted, for a claim in US dollars, at the USD/INR reference rate published by Financial Benchmarks India Private Limited (FBIL) for the date of the written description of the dispute under Section 17.1, or for the latest earlier date for which it was published; if that rate is no longer published, at the USD/INR rate that the payment provider Kavi then uses for payouts to India publishes for that date), the arbitration is decided on written submissions and documents only;
(d) Kavi irrevocably undertakes to advance all arbitrator fees, institutional and administrative fees and venue costs of the arbitration, and to bear them whatever the outcome. Each party bears its own legal costs unless the arbitrator decides that a claim or defense was frivolous or brought in bad faith. Within 14 days after either party sends the written description of the dispute under Section 17.1, Kavi will sign and send you a written costs agreement confirming these terms. The costs agreement Kavi sends is an irrevocable offer that you may accept at any time before the award by signing it or by email. Whether or not it is accepted, Kavi will not ask the tribunal for any costs against you and waives the right to recover any costs awarded against you, other than for a claim or defense the tribunal finds frivolous or brought in bad faith. The parties ask the tribunal to give effect to this undertaking and to that agreement to the fullest extent the Arbitration and Conciliation Act, 1996 allows;
(e) nothing in this Section 17.3 waives any right to bring or join a representative proceeding;
(f) either party may seek urgent interim relief from a competent court in India to protect its intellectual property, pending arbitration; and
(g) these Short-form Terms are accepted electronically and are not stamped when you accept them. If stamp duty is payable on them in your state or elsewhere in India, Kavi will pay it and any penalty, and will do so before relying on them as evidence in any proceeding in India.
17.4 Creators resident in Canada. If you are resident in Canada:
(a) these Short-form Terms are governed by the laws of your province or territory of residence and the federal laws of Canada that apply there;
(b) any dispute not resolved under Section 17.1 is decided by the courts of that province or territory, including its small-claims court for any claim within that court's monetary limit;
(c) instead of court, you (and only you) may choose low-cost arbitration by a single arbitrator seated in your province or territory, appointed by agreement or, failing agreement within 30 days after a written request to arbitrate, as the arbitration law of that province or territory provides. The arbitration is conducted on documents only where the amount in dispute is below the monetary limit of that province's or territory's small-claims court, and otherwise by video conference unless you ask for an in-person hearing in that province or territory. Kavi pays all arbitrator fees and any institutional and administrative fees, and each party bears its own legal costs;
(d) no dispute will be sent to arbitration seated outside Canada, and these Short-form Terms contain no waiver of class proceedings for you; and
(e) residents of Quebec cannot accept these Short-form Terms until the French versions described in Section 3.4 are available and have been provided as that Section requires.
18. Changes to these Short-form Terms
18.1 Notice. Kavi may change these Short-form Terms by giving at least 14 days' notice by email to your Creator Portal address and by notice in the Creator Portal. The same notice rules apply to changes to the Creator Policies.
18.2 Shorter notice. Kavi may make a change on shorter notice where it is required by law, a court or regulator, or an app store, or to address an urgent safety or security risk, and will tell you as soon as practicable. Any such change applies only to the extent the requirement or risk demands.
18.3 Your choices. If you do not agree with a change, you may delete your Short-form Items and stop posting before the change takes effect. For a change that is not a material change, if you keep posting after it takes effect, the changed terms apply to your Short-form Content from then on. For a material change, the changed terms apply to you only after you re-accept them, except a change made under Section 18.2, which applies as that Section provides. A change does not apply to disputes that arose before it took effect. Kavi will ask you to re-accept by ticking the box in the Creator Portal for any material change. Until you re-accept a material change, Kavi may pause new short-form uploads, but your existing Short-form Items stay governed by the version you accepted. A material change is a change that (i) adds or tightens a content, technical or conduct rule that can lead to rejection or removal of content or action against your account, (ii) changes how disputes are resolved, (iii) expands what Kavi may do with your content or personal data (including AI uses), (iv) reduces any notice, appeal or takedown protection, or (v) otherwise materially reduces your rights or increases your obligations.
18.4 Nothing changes a Kavi Master. A change to these Short-form Terms cannot change any royalty rate, payment term or right granted in a signed Kavi Master or Schedule.
19. General
19.1 Order of precedence. If you have signed a Kavi Master, the Kavi Master (with its riders and Schedules) prevails over these Short-form Terms for Licensed Works, and these Short-form Terms prevail for Short-form Content. A Minor / Guardian Rider, where it applies, prevails over both to the extent of any conflict. The Creator Policies cannot override any of them.
19.2 Entire agreement. These Short-form Terms and the Creator Policies, together with any signed Minor / Guardian Rider or AI-Voice & Digital Replica Consent that applies, are the whole agreement about Short-form Content. They replace any earlier statement about short-form or Bites, including in the Kavi Creator Guide, outreach emails and messages, which are marketing only. Nothing in this Section limits or excludes liability for fraud or fraudulent misrepresentation.
19.3 Privacy. Kavi handles your personal data as described in the Creator Privacy Notice linked in the Creator Portal. If you are resident in India, Kavi processes your personal data in line with India's Digital Personal Data Protection Act, 2023, as each of its provisions comes into force.
19.4 Assignment. Kavi may transfer these Short-form Terms to an affiliate (including a future Indian subsidiary) or to a successor to the business or assets to which the short-form feature of the Service relates, only if the transferee agrees in writing to assume Kavi's obligations under these Short-form Terms. Kavi will give you written notice of the transfer. The transfer does not enlarge the license or other rights granted by you. You may not transfer these Short-form Terms without Kavi's written consent.
19.5 Notices. Kavi will send notices to the email address registered in your Creator Portal account and by notice in the Creator Portal. You may send notices, including the written dispute description under Section 17.1, by email to legal@kavi.audio. Email is enough. You may also send them by courier to Kavi at 169 Madison Ave STE 30314, New York, NY 10016, USA. A notice from Kavi is treated as received when it is sent or posted. A notice from you to legal@kavi.audio is received when Kavi's email system accepts it, and a notice sent by courier is received when it is delivered.
19.6 Language. These Short-form Terms are in English. Kavi may, as a courtesy, provide a Telugu translation or summary. It is for information only and is not part of these Short-form Terms; the English text alone is binding. If you are resident in India, Kavi will make every privacy notice and every consent request it gives you under India's Digital Personal Data Protection Act, 2023 (including the Creator Privacy Notice and any AI-training opt-in under Section 6.3(c)) available in English and in Telugu, and in any other language listed in the Eighth Schedule to the Constitution of India on request, by 13 May 2027.
19.7 Survival. These Short-form Terms continue until you have no Short-form Items on the Service and your Approved Creator status has ended. Sections 4.4, 4.5, 5, 6.3, 6.5, 7, 9, 10.2, 11, 12, 14, 15, 16, 17 and 19 survive the end of these Short-form Terms or of your Approved Creator status.
19.8 Severability and waiver. If any part is unenforceable, the rest remains in effect and the unenforceable part is applied to the maximum extent allowed. A failure to enforce a right is not a waiver of it.
19.9 Independent advice. You confirm you had the chance to read these Short-form Terms and to take independent legal advice before accepting them.
19.10 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
Acceptance (Creator Portal)
The full Short-form Terms and each Creator Policy are linked next to the boxes below in the Creator Portal, where you can read and download them before you accept. Kavi also emails you a copy of these Short-form Terms and your acceptance record immediately after you accept (Section 1.2).
Key terms — read before you tick (a summary; the full Short-form Terms govern)
- Unpaid. Kavi pays nothing for short-form: no royalties, revenue share or fees. You keep 100% of your own disclosed sponsorships, and you receive 50% of Kavi's net proceeds from any third-party AI-training license you separately opt into; Kavi may reduce that 50% share, for money it receives after the change, on at least 30 days' notice, and you may revoke your opt-in before the reduction takes effect (if you live in India, the reduction applies to items you already opted in only if you accept it) (Sections 4, 6.3(c) and 10).
- You keep your copyright. You give Kavi a non-exclusive, worldwide, royalty-free license to host, stream, promote (including on Kavi's own social accounts, after 30 days on the Service), clip, caption, translate and recommend your short-form. Dubbed audio versions are made only if you switch them on. The license lasts until Kavi stops using a deleted item, within 30 days after deletion, apart from backups, legal holds and already-published third-party posts that a platform has not yet removed (Sections 5, 6 and 7).
- Edits and moral rights. You consent to the technical and editorial changes listed in Section 6.5 and will not object to them on moral-rights grounds. If you live in Canada, you waive your moral rights for those changes and uses only (Section 6.5).
- AI. Kavi may train its own AI models, including text-to-speech, on your short-form, free of charge, never to imitate your voice or anyone else's and never on music. Kavi owns those models and may license them (speech-synthesis models only as a hosted service, never as a copy of the model), but never your Short-form Content. If you live in India, Canada, Illinois, Texas or Washington, this happens only if you tick the box below; otherwise it happens unless you opt out by emailing privacy@kavi.audio. Kavi never makes a replica of your voice from your short-form (Sections 6.3 and 6.3A).
- Removal. Kavi may remove or restrict any item, suspend or end your approval to post, and discontinue the short-form feature on 30 days' notice (Sections 8 and 13). You may delete your items at any time.
- Your promises and indemnity. You promise that you hold every right and every signed written consent needed (no one under 13 may appear, and anyone under the age of majority only with the parent-signed releases in Section 9.1(c)), and you indemnify Kavi against third-party claims arising from your content, a breach of your promises, your sponsorships or your breach of law (Sections 9 and 16.1).
- Limits on liability. Neither party is liable for indirect or consequential loss, and each party's total liability is capped at the greater of what Kavi paid you under these Terms in the previous 12 months (expected to be zero) and US$1,000, with the exceptions in Section 15.4. Your indemnity (Section 16.1) is not capped (Section 15.4(a)).
- Changes. Kavi may change these Short-form Terms on 14 days' notice; a material change applies to you only after you re-accept it, except a change required by law, a court, a regulator or an app store, or made to address an urgent safety or security risk (Sections 18.1 to 18.3). A reduction of the 50% AI-license share is made on 30 days' notice without re-acceptance (Section 6.3(c)).
- Disputes. If you live in the United States (or anywhere other than Canada or India): individual arbitration (AAA, seated in Atlanta), no judge or jury and no class actions. You may opt out of arbitration by emailing legal@kavi.audio within 30 days after you first accept; the class action waiver still applies in court if you opt out (Section 17.2). If you live in India: Indian law and online arbitration administered by Presolv360, seated in Hyderabad, with Kavi bearing the arbitration fees (Section 17.3). If you live in Canada: the courts of your province or territory, or low-cost local arbitration if you choose, with Kavi paying the arbitration fees and no class waiver (Section 17.4).
☐ I agree to the Kavi Creator Terms — Short-form (the version and effective date shown next to this box in the Creator Portal) and the Creator Policies linked above, including, for US creators, the individual arbitration and the waiver of court and jury trial in Section 17.2(b), which I may opt out of within 30 days under Section 17.2(j), and the class action waiver in Section 17.2(f), which still applies in court if I opt out. I confirm I have reached the age of majority where I live or, if I have not, that I am 13 or older, Kavi has approved me in writing and a Minor / Guardian Rider signed by my parent or guardian is in place (Section 3.2). If I live in India and am under that age, my parent or guardian accepts these Short-form Terms as the contracting party.
☐ (Only if accepting for a company or other entity) I also personally give the promises in Section 9 and accept the dispute terms in Section 17, as Section 1.3 provides.
☐ (Only if you live in India, Canada, Illinois, Texas or Washington; optional) I consent to Kavi training its own AI models on my Short-form Content as Section 6.3A describes, with no model ever used to imitate my voice.
